Welcome to cRose IT Agency. These Terms of Service govern your use of our website development, e-commerce solutions, and data analytics services. By engaging our services, you agree to be bound by these terms.

1. Services Provided

cRose IT Agency provides professional web development and design services including but not limited to:

• Custom website development using WordPress, Shopify, Wix, Squarespace, and Webflow platforms
• E-commerce store development and configuration
• Business intelligence and data analytics using Power BI
• Website maintenance and ongoing support services
• Search engine optimization (SEO) implementation
• Responsive design and mobile optimization

2. Project Engagement

2.1 Project Proposal and Acceptance

All projects begin with a detailed proposal outlining scope, timeline, deliverables, and pricing. A project is considered accepted upon receipt of the signed agreement and initial deposit payment. The proposal becomes a binding agreement once accepted by both parties.

2.2 Client Responsibilities

Clients are responsible for providing all necessary content, images, branding materials, and access credentials in a timely manner. Delays in providing required materials may affect project timelines and could result in additional charges.

2.3 Communication

We maintain open communication throughout the project lifecycle. Clients will receive regular updates and will have opportunities to provide feedback at designated milestones. 3. Payment Terms

3.1 Pricing and Deposits

Project pricing is determined based on scope and complexity as outlined in the project proposal. A non-refundable deposit of 50% is required to commence work on any project. The remaining balance is due upon project completion and before final delivery of assets.

3.2 Payment Methods

We accept payment via bank transfer, credit card, and major online payment platforms. Payment details will be provided in your invoice. All prices are quoted in USD unless otherwise specified.

3.3 Late Payments

Invoices are due within 14 days of issuance. Late payments may incur a fee of 2% per month on the outstanding balance. We reserve the right to suspend services on accounts with overdue payments.

4. Intellectual Property

4.1 Ownership Transfer

Upon full payment, all custom code, designs, and deliverables created specifically for your project become your property. This excludes any third-party components, templates, plugins, or libraries which remain subject to their respective licenses.

4.2 Portfolio Rights

cRose IT Agency reserves the right to display completed projects in our portfolio, marketing materials, and case studies unless explicitly agreed otherwise in writing. We will not disclose confidential business information without prior consent.

4.3 Third-Party Materials

Any stock images, fonts, plugins, or third-party components used in your project remain subject to their original licensing terms. We will provide documentation of all third-party assets used in your project upon request.

5. Revisions and Changes

5.1 Included Revisions

Each project includes a specified number of revision rounds as outlined in the project proposal. Revisions must be submitted in writing with clear, consolidated feedback to ensure efficient implementation.

5.2 Additional Revisions

Revision requests beyond the included rounds will be billed at our standard hourly rate. Significant scope changes may require a revised proposal and additional fees.

6. Project Timeline

Project timelines are estimates provided in good faith based on the defined scope. While we strive to meet all deadlines, final delivery dates depend on timely client feedback, content provision, and approval of milestones. Force majeure events, technical complications, or client delays may extend the timeline.

7. Warranties and Limitations

7.1 Service Warranty

We warrant that all services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period after project completion during which we will address any bugs or issues arising from our work at no additional cost.

7.2 Limitation of Liability

cRose IT Agency shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the total amount paid by the client for the specific project in question.

7.3 Third-Party Services

We are not responsible for issues arising from third-party hosting providers, domain registrars, payment processors, or platform changes (WordPress, Shopify, etc.) that are outside our control.

8. Termination

8.1 Client Termination

Clients may terminate a project at any time with written notice. In such cases, the client will be invoiced for all work completed up to the termination date. The initial deposit is non-refundable.

8.2 Agency Termination

cRose IT Agency reserves the right to terminate a project if the client breaches these terms, fails to make timely payments, or engages in conduct that materially impedes project progress. Upon termination, completed work will be delivered upon receipt of all outstanding payments.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the project engagement. This includes business strategies, technical specifications, login credentials, and any information marked as confidential. This obligation survives the termination of services.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or related services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

11. Modifications

cRose IT Agency reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services following any changes constitutes acceptance of the modified terms.
